1. Agreement to Terms

These Terms of Service ("Terms") govern access to and use of potik (the "Service"), an internal finance and operations application operated by SoftImply OÜ (registry code 16776329), a company registered in Estonia with its registered office at Sepapaja tn 6, 15551 Tallinn, Estonia ("SoftImply", "we", "our", or "us").

By signing in to or using the Service you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Service Description

potik is a multi-tenant financial reporting and operations tool. It provides transaction management, categorization, recurring transactions, budgets, invoicing, reporting, Wise bank synchronization, and AI-assisted categorization. The Service is provided primarily for SoftImply's internal accounting and operational use.

3. Access & Accounts

Access to the Service requires an authorized account. You agree to:

• Provide accurate account information and keep it up to date.
• Complete and maintain mandatory two-factor authentication.
• Keep your credentials, recovery codes, and authentication device confidential.
• Use the Service only within the scope of your role and authorization.
• Notify us promptly of any unauthorized access or security incident.

4. Acceptable Use

You agree not to:

• Access tenants, data, or features you are not authorized to use.
• Attempt to circumvent authentication, authorization, or audit controls.
• Interfere with the integrity, security, or availability of the Service.
• Use the Service for any unlawful purpose or in violation of these Terms.

5. Financial Data & Accuracy

The Service consolidates and reports on financial data, including data synchronized from Wise. While we aim for accuracy, reports and AI-assisted categorizations are provided for operational convenience and do not constitute professional accounting, tax, or financial advice. You remain responsible for verifying financial records before relying on them for statutory or contractual purposes.

6. Intellectual Property

The Service, including its software, design, and documentation, is owned by SoftImply OÜ. No rights are granted other than the limited right to use the Service for its intended internal purpose. Financial and tenant data entered into the Service remains the property of the relevant tenant.

7. Confidentiality

The Service contains confidential financial and business information. You agree to keep all non-public information accessed through the Service confidential and to use it only for authorized purposes.

8. Data Protection

We process personal data in accordance with our Privacy Policy and GDPR Data Processing Policy.

9. Warranty Disclaimer

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we make no warranties, express or implied, regarding the Service, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Service availability may be affected by third-party dependencies including Microsoft Azure, Supabase, and Wise.

10. Limitation of Liability

To the maximum extent permitted by applicable law, SoftImply OÜ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, arising out of or related to your use of the Service. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

11. Governing Law

These Terms are governed by the laws of the Republic of Estonia. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Harju County (Harju Maakohus), Tallinn, Estonia.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of the Service after changes constitutes acceptance of the updated Terms.
